1. Agreement

• No use that could harm or overload our infrastructure or other customers.

5. Subscriptions, Billing & Refunds

• Paid tools are subscription-based or licensed. Access continues while payment is current.
• Fees are billed in advance and are generally non-refundable once a billing period begins, unless required by law or stated otherwise in writing.
• You may cancel at any time; access ends at the close of the current paid period.
• Failure to pay may result in suspension or termination of access.

6. Data Ownership & Privacy

• You retain ownership of your content and files submitted to the Services.
• You grant us a limited license to process your content as needed to operate and improve the Services.

7. Service Availability & Changes

• We strive for reliability but do not guarantee uninterrupted or error-free operation.
• Features may change or be discontinued. We may update software without notice to maintain security and functionality.

8. Support

We provide reasonable support via our contact form. Response times and outcomes are not guaranteed but we aim to respond promptly.

9. Security

We implement reasonable technical and organizational measures including access controls, encryption, and tested backups. You are responsible for securing your own systems, devices, and passwords.

10. Third-Party Services

Some features may integrate third-party services (e.g., cloud hosting, APIs). Their terms and privacy policies apply in addition to ours. We are not responsible for third-party acts or omissions.

11. Intellectual Property

• The Services, software, and content we provide (excluding your content) are owned by BrightWing Tech Solutions and its licensors.
• We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal purposes while compliant with these Terms.

12. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You assume all risk for your use of the Services.

13. Limitation of Liability

To the maximum extent permitted by law, BrightWing Tech Solutions and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount you paid to us in the six months preceding the event giving rise to the claim.

14. Indemnification

You agree to defend, indemnify, and hold us harmless from claims and expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

15. Suspension & Termination

We may suspend or terminate access at any time for conduct that violates these Terms, creates risk, or to comply with law. Upon termination, your right to use the Services ends immediately.

16. Governing Law & Disputes

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada. You consent to the exclusive jurisdiction of the courts located in British Columbia, Canada.

17. Changes to Terms

We may update these Terms from time to time. The updated version will be posted here with the revised date. Continued use of the Services means you accept the changes.

18. Miscellaneous

• Severability: If any part is unenforceable, the rest remains in effect.
• Assignment: You may not assign these Terms without our consent.
• Entire Agreement: These Terms and the Privacy Policy are the entire agreement between you and BrightWing Tech Solutions regarding the Services.
